In anticipation of acquisition of a large pig-breeding enterprise, the customer gave GREEN specialists the task of identifying the potential risks of the enterprise and to build a financial forecast of its activities

The company was in bankruptcy proceedings, and therefore it was also necessary to develop options for acquiring a company or property complex without suspending its operations

GREEN specialists conducted an audit of the enterprise, including:

• determining the actual financial performance indicators of the enterprise and analyzing the system of purchases and sales and financial flow chart
• verifying actual availability and legal registration of rights to the assets of the enterprise: immovable objects, including those under construction (over 150 objects), technological equipment, and intellectual property
• checking relationships with counterparties (suppliers and buyers, as well as counterparties for financial and other obligations) and analyzing receivables and payables
• checking for correct and on-time payment of taxes and fees
• checking registration of title to shares in the authorized capital of the company

Based on the verification and provided data, a financial model of the enterprise’s activity was built. Various options for the acquisition of the enterprise by the customer were analyzed

• The actual composition of the enterprise’s assets were established, and unformed real estate objects, assets withdrawn in anticipation of bankruptcy, and unrealistic collection of receivables were identified.
• The actual composition of obligations and the list of potential creditors in the bankruptcy proceedings were established.
• The risks of the enterprise, including loss of assets, collection of taxes, and prosecution were identified.
•  Options for debt restructuring to the bank were proposed, as well as a scheme for acquiring the enterprise and concluding a settlement agreement.
